Ed Winters advises clients on fund formation, representing asset managers, insurers, family offices, fintech start-ups and institutional investors. He also uses his experience to guide US and international clients through the governance, regulatory, and transactional challenges relating to investment management.

He advises financial institutions on the structuring and distribution of investment funds domiciled in the US, Europe, and Offshore jurisdictions, with an emphasis on those employing alternative strategies, including assisting private equity firms with the acquisition, disposal, and operation of portfolio companies. He has also formed numerous mutual funds and UCITS, including arranging for their passporting throughout the European Union.

He also counsels investment advisors on compliance with regulatory developments and their interaction with domestic and overseas financial regulators, ranging from authorization applications to enforcement proceedings.

Additionally, Ed handles due diligence for institutional investors, such as pension funds and family offices, on their investments with third parties and negotiates investment terms and participation in co-investments on their behalf. Previously, he represented a number of investors on LP Advisory Committees and acted as independent counsel to a number of mutual fund boards.

For other financial institutions, Ed has arranged for the approval of bank holding companies and bank charters, as well as seed and early stage financing for venture capital and digital asset companies.

Prior to joining Eversheds Sutherland, Ed was a partner at several NY-based firms and previously headed up the US-Luxembourg desk at a major international law firm. Prior to this, he served as an international consultant and as a senior associate at two major international firms. This return to private practice came after 11 years in the global asset management industry, including serving as senior in-house counsel for several investment management firms in the UK. 

Ed is admitted to the Massachusetts State Bar. His work is supervised by New York State Bar members.
