AIMA Fund Manager Briefing: How Limited is Your Liability?
The use of SPVs to limit liabilities does not always work in practice. In this session, we will discuss some of the ways in which investment managers, funds, investment manager representatives appointed as directors of SPVs and others can be exposed to potentially substantial liability risk notwithstanding the use of ring-fenced SPV structures. We will also provide some tips on how to mitigate the risks, including in the areas of structuring, governance and not tripping up on internal communications.
