Part 1: Demystifying Cayman Regulation for Funds

Cayman Islands remains the pre-eminent offshore jurisdiction for the formation of alternative investment funds and there are a number of Cayman Islands regulations and issues that investment funds are required to stay on top of. Our team will take a closer look at the Cayman Island regulations impacting Cayman Islands funds and will provide some practical advice and analysis when it comes to the current hot-issues that managers need to be aware of.

Part 2: Decoding Japan's FDI Control: A Deep Dive

This session will be held in Japanese ONLY.

While the amendments to the Foreign Exchange and Foreign Trade Act (the "FEFTA") which significantly controlled direct foreign investment into Japan was effected in June 7, 2020, there remains a great deal of uncertainty as to the application of these rules in the investment funds industry. Specifically, there appears to be an ambiguity as to the application of the FEFTA to the various types of offshore investment funds that invest in Japan. In this session, we aim to provide a practical overview of Japan's foreign investment control via the FEFTA as applicable to the various type of investment fund structures domiciled in the Cayman Islands – focusing on the specific triggers for when and who needs to make the filing under the Japan's FDI regulation with respect to each type of Cayman Islands investment vehicle or scheme.

日本の対内直接投資規制を理解する

対内直接投資等に大きな影響を与えた改正外為法が2020年6月7日に施行されました。しかし、ファンドによる投資との関係においては、未だ不明確な点が多くあります。特に外国籍ファンドによる日本への投資については、ファンド形態により外為法の適用条項に迷うことが少なくありません。このセッションでは、ケイマン籍ファンドから日本への投資を行う際の対内直接投資規制について、ファンド形態に応じて誰がいつ届出を行う必要があるのかを中心に、規制の概要を整理いたします。
